Terms of Service

1. Acceptance of Terms

By accessing or using Zamm ("the Service"), including the Zamm mobile application and Zamm Studio web application, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Zamm provides:

• AI-Powered Messaging: Chat with AI agents that have persistent memory, 24+ executable tools (expense tracking, habit tracking, trip planning, smart home control, etc.), and voice call capabilities.
• Person-to-Person Messaging: Standard messaging between users with optional end-to-end encryption.
• Agent Studio: Web-based tools for creating, configuring, testing, and publishing custom AI agents.
• Agent Marketplace: A catalog where users can discover, install, fork, and rate community-built agents.
• Voice AI: Full-duplex voice calls with AI agents, including speech-to-text, text-to-speech, and in-call tool execution.
• Workflows & Automation: Scheduled agent tasks, multi-step goals, triggered routines, and proactive briefings.
• Commerce: In-chat product search, checkout, and order tracking (when connected to your storefront).

3. AI Disclaimer & Limitations

AI-generated content is probabilistic and may be inaccurate, incomplete, or inappropriate. You acknowledge this inherent limitation.

• No Professional Advice: AI agent outputs do not constitute medical, legal, financial, or professional advice. Do not rely on agent responses for critical decisions.
• Verification Required: You are solely responsible for verifying the accuracy of any AI-generated output before acting on it.
• Nutrition Estimates: The nutrition logging tool uses AI to estimate calories and macros. These are approximations, not medical-grade measurements.
• Financial Tools: Expense tracking, bill splitting, and price watching tools are organizational aids, not financial advisory services.
• Smart Home Actions: When you authorize an agent to execute smart home commands, the agent relays your instructions. Verify outcomes independently.
• Safety Guardrails: We employ input/output screening to prevent harmful content generation, but no filter is perfect.

4. Your Account & Security

• You are responsible for maintaining the security of your account credentials and OTP codes.
• You must not share your Studio web login QR code or 6-digit code with unauthorized persons.
• If you use Bring Your Own Keys (BYOK) to connect your own AI provider keys, you are responsible for the security and costs of those keys.
• If you connect third-party integrations (Google Calendar, Shopify, custom connectors), you authorize Zamm to access those services on your behalf within the scope you grant.

5. User Content & Ownership

5.1 Your Content

You retain ownership of all content you create, including:

• Chat messages and conversations.
• Memory facts extracted from your conversations.
• Custom agent configurations (private agents).
• Data created by tools (expenses, habits, promises, nutrition logs, etc.).

You grant Zamm a limited license to process your content solely to provide and improve the Service.

5.2 Public Agents & Marketplace

• When you publish an agent to the Marketplace (set isPublic: true), other users can view, install, and fork your agent.
• You retain authorship credit, but you grant Zamm and other users a license to use, display, and create derivative works from your public agent configuration.
• Private agents are visible only to you and are not shared.

5.3 AI-Generated Invitation Images

Invitation card images are generated using AI (Gemini Imagen). You may share these images freely. Zamm does not claim ownership of AI-generated images created from your prompts.

6. End-to-End Encryption

Zamm offers optional E2EE for private conversations using X25519 key exchange and XChaCha20-Poly1305 encryption.

• E2EE disables AI features. When you enable encryption on a chat, AI agents cannot read or respond to messages in that conversation. This is by design.
• You are responsible for your private encryption keys. If you lose access to your device, encrypted messages cannot be recovered by Zamm.
• Group chats with E2EE enabled show a visible indicator that AI features are unavailable.

7. Voice Calls

• Voice AI calls are processed in real-time. Audio is streamed to speech services for transcription and discarded after processing.
• Voice calls are limited to 30 minutes per session.
• Call recording is disabled by default. If you enable it per agent, recordings are stored in your account and can be deleted.
• Telnyx provides telephony infrastructure. By using voice features, you agree to Telnyx's acceptable use policies.

8. Prohibited Uses

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory.
• Attempt to circumvent AI safety guardrails or extract the system prompts of other users' agents.
• Use agents to impersonate real individuals without their consent.
• Automate spam, phishing, or unsolicited messages to other users.
• Use webhooks or custom connectors for malicious purposes.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Store sensitive personal data (SSN, medical records, passwords) in agent prompts or memory.

9. Subscriptions & Payments

• Zamm offers Free, Pro, and Business subscription tiers.
• Payments are processed by Stripe. Zamm does not store credit card numbers or payment method details.
• Subscriptions renew automatically. You may cancel at any time; access continues until the end of the billing period.
• If you use BYOK keys, API costs from your provider are your responsibility and are not covered by your Zamm subscription.

10. Agent Marketplace & Creator Revenue

• Creators can set pricing on their public agents (free, per-message, or subscription).
• Revenue split is 70% creator / 30% platform.
• Payouts are processed monthly via Stripe Connect with a $10 minimum threshold.
• Zamm reserves the right to remove agents from the Marketplace that violate these Terms.

11. Data Deletion & Portability

• You can export your memory facts as JSON at any time.
• You can permanently delete all memory facts, individual conversations, or your entire account.
• Deletion is immediate and irreversible for user-initiated requests.
• Upon account deletion, your profile, private agents, and associated data are permanently purged.
• Public agents you published may be retained in the Marketplace if other users have installed them, but your identity will be anonymized.

12. Service Availability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party provider outages (Google Cloud, Telnyx, Stripe), and unforeseen issues may affect availability.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAMM.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING AI-GENERATED CONTENT; (C) UNAUTHORIZED ACCESS OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (D) ACTIONS TAKEN BY AI AGENTS ON YOUR BEHALF, INCLUDING TOOL EXECUTIONS, SMART HOME COMMANDS, OR COMMERCE TRANSACTIONS; OR (E) INACCURACIES IN AI-GENERATED CONTENT INCLUDING NUTRITION ESTIMATES, FINANCIAL SUMMARIES, OR TRIP PLANS.

14. Indemnification

You agree to indemnify and hold harmless Zamm.ai from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, content you create or share, agents you publish, or your use of third-party integrations connected through the Service.

15. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, USA.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notification. Continued use after changes constitutes acceptance of the updated Terms.
